RAD FRY Road Haulage Compliance & Training is dedicated to the privacy of all clients, ensuring that all information remains confidential. As standard we have the following open policy for all clients.
Non-Disclosure Agreement ("NDA") is entered into by and between All Clients ("Disclosing Parties") and RAD FRY Road Haulage Compliance & Training ("Receiving Party") effective as of the date of this agreement (at the start of first communication) .
1. Confidential Information: The Disclosing Party may disclose certain confidential and proprietary information to the Receiving Party in connection with their business relationship. This confidential information includes, but is not limited to, client lists, financial information, trade secrets, business strategies, and any other information deemed confidential by the Disclosing Party.
2. Obligations: The Receiving Party agrees to hold all confidential information in strict confidence and to not disclose, distribute, or use such information for any purpose other than the intended business relationship between the parties. The Receiving Party shall take all necessary precautions to protect the confidentiality of the information, including implementing reasonable security measures.
3. Non-Disclosure: The Receiving Party shall not disclose any confidential information to any third party without the prior written consent of the Disclosing Party. This obligation of non-disclosure shall survive the termination of this agreement.
4. Return of Information: Upon the written request of the Disclosing Party, the Receiving Party shall promptly return or destroy all confidential information and any copies thereof in their possession.
5. Governing Law: This NDA shall be governed by and construed in accordance with the laws of UK and Ireland. Any disputes arising out of or relating to this agreement shall be resolved through arbitration in UK, in accordance with the rules.
6. Entire Agreement: This NDA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all previous agreements, whether written or oral.
